YZi Labs just won its boardroom fight at CEA Industries. They want to build the Strategy of BNB.

BNC jumped around 20% pre-market after YZi Labs settled its fight with CEA Industries. The bet is simple: make CEA the public-market BNB vehicle that Strategy is for Bitcoin.
The settlement installs YZi partner Alex Odagiu as interim president. It also adds Ella Zhang and Matthew Roszak as directors, and is expected to push out the current CEO, according to CoinDesk.
BNC, CEA's ticker, closed up 8.35% at $2.27 on the announcement day. This morning, CoinDesk reported the stock up around 20% to $2.72 pre-market.
YZi's argument was specific. CEA shares trade below the BNB the company actually holds. A person close to the settlement called it a governance reset, not a takeover.
YZi put roughly $100 million into CEA when the company switched to a BNB treasury model in July 2025. The activist push started after execution slowed.
The model is Strategy. MicroStrategy built a premium to its Bitcoin holdings by becoming the loudest public Bitcoin buyer. YZi wants CEA to run that same play for BNB.
YZi made one thing clear: Changpeng Zhao was not involved. The firm rebranded from Binance Labs in 2024 and disputes being called a Zhao family office.
If you hold BNC, the only number that matters is the NAV discount. That is what new management has to close.
YZi was right to make the fight public. A quiet board deal would not have moved BNC 20%, or forced the Strategy comparison into the market.
