Cantor's more than $3B bitcoin treasury deal just lost its vote date. Cantor Equity Partners I and BSTR Holdings scrapped the terms of their July 2025 merger agreement, per Bitcoin Magazine. The July 10 shareholder meeting is now postponed with no fixed timeline.
The number to watch is 30,021 BTC. That was the bitcoin pledged in the original deal, according to the report. Backers also described about $1.5B in PIPE funding and 5,021 BTC contributed in-kind, not cash.
This is not just calendar noise. The vote already slipped from June 26 to July 2, then to July 10, before being suspended indefinitely. Public shares tendered for redemption will be returned to holders. Fresh SEC filings are required before the deal moves again.
If you're tracking bitcoin treasury stocks, your bag is tied to this model. The structure depends on the stock staying strong enough to buy more bitcoin. By late 2025, a broad group of treasury firms had fallen below 1.0x mNAV. Strategy, the company that made the model famous, was also trading at a discount when CEPO started delaying its vote.
The political visibility is high. Brandon Lutnick, son of U.S. Commerce Secretary Howard Lutnick, chairs the CEPO sponsor. Adam Back also confirmed the renegotiation from the filing on X.
The catalyst is named now: revised terms. Until those filings land, the original bitcoin treasury pitch is officially on pause.
CEPO was right to stop the vote after three delays. The original treasury math no longer clears cleanly below 1.0x mNAV.
