Metaplanet is putting 2,100 BTC into Super League. Super League said the bitcoin was worth about $132.1 million as of Aug. 14. It is also adding $2.5 million in cash.
The deal is control, not a partnership. After closing, Metaplanet is expected to own about 95.7% of Super League's issued common stock. Super League is expected to rename itself Superplanet and become Metaplanet's U.S. bitcoin treasury platform.
Per the company statement, Super League will issue 44,859,400 common shares to Metaplanet at $3.00 each. The deal is structured as a private placement of newly issued securities. The company said it is not a reverse takeover or a SPAC transaction.
The tape matches the story. Metaplanet says it holds 43,000 BTC as of Aug. 18, and now it wants a Nasdaq-listed U.S. vehicle. If you're holding this, the only number that matters is control, not the headline dollar value.
Super League's gaming media business is staying as a separate operating segment. The new Superplanet may use bitcoin as collateral for future perpetual preferred stock issuance, the release said. No decision on any future security has been made.
The deal is expected to close in the fourth quarter of 2026. It still needs Super League stockholder approval, Nasdaq filings, and U.S. and Japan regulatory procedures. The next move is paperwork, not vibes.
