Joyertech would pay in bitcoin, get majority board control, and inherit an insurance shell. This isn't a fundraise.

Zhibao Technology signed a non-binding $220 million bitcoin share deal. The buyer, Joyertech and Information OPC, would pay in bitcoin, not cash. The amount is roughly 3,500 BTC, per Bitcoin Magazine.
This is not the standard playbook. Most bitcoin-treasury converts raise cash and then buy coins on the open market. Zhibao would receive BTC directly for the new shares. That puts bitcoin on the balance sheet from day one.
Joyertech and Information OPC would name a majority of Zhibao's board at closing. The current team stays on to manage legacy insurance operations until a later "separation, disposition, or other restructuring." That's the catch for existing employees and insurance clients. The new owners get the BTC. The old team gets an uncertain timeline.
ZBAO jumped about 24% intraday on the news, Bitcoin Magazine reported.
The term sheet is non-binding. It still needs final valuation, custody plans, an audit, and regulatory approval. No SEC filing or company press release was available as of this writing. If you're holding ZBAO, you're trading on one source and a deal that may never close.
Zhibao launched China's first digital insurance brokerage platform in 2020. That operation is what the new owners would inherit around a bitcoin balance sheet.
Joyertech is asking public holders to price a control transfer before the paperwork exists. That is reckless for a Nasdaq stock moving 24% on one report.
An SEC 8-K or Form 6-K from Zhibao within the next five trading days. If nothing is filed by then, the 24% intraday move was trading on air.
