Strategy outlined an $80B raise to reach 1 million Bitcoin. Its preferred stock is still trading below face value, and that's the catch.
Phong Le's 1 million BTC plan needs income investors. Income investors need STRC above $100. The circle has not closed.

- →Strategy CEO Phong Le laid out a plan to fix STRC and raise $80B+ to reach 1 million Bitcoin.
- →STRC trades below $100 because cash reserves cover only 20 months of dividends, four months short of JPMorgan's minimum.
- →Watch STRC's price before Q3 2026 ends. A move above $100 would show income investors are coming back.
- preferred stock → A company share that usually pays a fixed dividend. Preferred holders get paid before common shareholders if the company runs into trouble.
- par value → The face value a security is meant to trade around. When preferred stock trades below par, investors are questioning the payout.
Strategy CEO Phong Le wants 1 million Bitcoin. The gap is the story.
Crypto Briefing says Strategy holds about 843,000 to 845,000 BTC. Its cost basis was around $61.81 billion as of early May. Reaching 1 million BTC means buying roughly 157,000 more coins. The funding plan is an $80B+ raise.
The problem is STRC. Strategy's perpetual preferred stock trades below its $100 par value. The market is not convinced the dividend holds. Crypto Briefing puts the annualized yield near 11.5 percent.
Cash reserves sit at $3 billion after a $467 million MSTR share sale. JPMorgan reportedly recommended 24 to 36 months of dividend coverage. Current reserves cover about 20 months. That is the only number that matters.
Le's response is to show confidence. He personally bought $1 million of STRC. Strategy also sold 32 BTC in late May or early June, worth about $2.5 million. That was its first Bitcoin sale since December 2022.
Management called the sale a systems test. It said the point was checking internal Bitcoin selling processes, not raising emergency cash. Still, selling Bitcoin is now part of the operating playbook.
If you're holding STRC, the question is not whether Strategy can sell 32 BTC. It is whether the company can keep paying an 11.5 percent yield while raising $80B.
The loop is hard to miss. The raise needs investor appetite. Investor appetite needs STRC at or above $100. STRC at $100 needs better cash coverage. Better cash coverage needs the raise.
Saylor's Bitcoin Banking Adoption Index shows major banks at 32 percent overall, according to AMB Crypto. Fidelity leads at 71 percent. Goldman sits at 45 percent. Most banks still prefer spot BTC ETFs over direct BTC exposure for margin.
That slows Strategy's pitch. It wants to look like a Bitcoin bank. The STRC discount says investors are not treating it like one yet. For now, Strategy is running ahead of the numbers.
Le's choice to sell a 1 million BTC plan while STRC sits below $100 is backwards. Income investors will not fund the raise until the dividend looks secure.
Watch STRC through September 30, 2026. A close above $100 in secondary markets before then would show income investors have accepted the dividend story. Failure to cross $100 keeps the $80B raise plan stuck on paper.
