American Bitcoin just set a 1-for-15 reverse split. The split is effective 5 p.m. ET on July 2, per Bitcoin Magazine. Nasdaq trading resumes July 6 under the same ABTC ticker.
The math: roughly 1.09 billion shares become about 73 million. Class A drops from 360 million to about 24 million. Class B falls from 732 million to about 49 million. Bitcoin Magazine says 93.56% of voting shares were represented at the June 22 meeting.
American Bitcoin isn't a standard miner. Eric Trump and Donald Trump Jr. co-founded the company in March 2025 alongside Hut 8. Hut 8 took an 80% stake in exchange for its mining assets. The company reached Nasdaq through a Gryphon Digital Mining merger, not a traditional IPO. It holds more than 6,000 BTC as of July 1, according to Bitcoin Magazine.
A 1-for-15 ratio is aggressive. Companies do reverse splits to raise their per-share price. Usually, that means the price fell below exchange minimums. It can also mean big buyers won't touch low-priced shares. The split doesn't change the company's total value. That's the catch: it only changes how it looks on a screen.
If you're holding ABTC, your share count drops by 93% on July 2. The price per share adjusts up by the same factor. Net change to your position: zero, before markets move on July 6.
Hut 8's silence makes this look like damage control. If this share structure was always the plan, the company has not made that case.
ABTC after July 6 trading resumes: if it trades at or below $1 within 30 days, the split bought time, not credibility.
