Circle just got a U.S. trust bank charter. Tether can't follow, and that gap is now structural.
Circle's new federal charter puts USDC reserves under the same U.S. supervisor as any national bank. Tether runs offshore, and no amount of market share changes that.

The entity starts narrow: custody and fiduciary services for Circle and affiliates. No consumer deposits. No loans. The approved business plan lists one future capability: OCC-supervised management of USDC reserves. That puts USDC reserves under federal examination, not quarterly self-reporting.
Tether's reserve structure still sits offshore. That has supported $184.1B in circulation, according to CoinDesk. For now. USDC stands at $73.2B in circulation, the same report shows. Tether wins on size. But institutions don't just buy the biggest stablecoin. They buy the one their compliance team can defend.
The OCC charter gives Circle the same examiner as a national bank. Any counterparty that requires OCC-supervised custody can now route through Circle. Once reserve management is live, that route gets stronger. Tether does not have that lane.
Circle applied in June 2025. Conditional approval came in December alongside BitGo, Ripple, Paxos, and Fidelity Digital Assets. Final approval landed this morning. CRCL shares were up 14% in pre-market trading.

Either Tether establishes a U.S.-regulated entity before a federal stablecoin law passes, or it concedes the institutional market to Circle by default.
Before mid-2027, watch for the first Tier 1 U.S. bank or sovereign wealth fund to name OCC-supervised reserve management as a required stablecoin standard.
